Terms of service

The short version: we price a piece of work, you approve it, we build it, and you own the result. Nothing starts until you have agreed the price. There is no contract to sign, no retainer, and nothing renews.

Who you are contracting with

Software Delivered is a trading name of Voittaa Ltd, registered in England and Wales at Bridge View Park, Henry Boot Way, Hull, HU4 7DW. These terms are between you and Voittaa Ltd.

How work is priced and agreed

You describe what you need. We size it into a number of tokens and show you the price. No work begins until you approve it.

Approving is what pays for it: the tokens come out of your balance at the moment you approve, not when we finish.

If we cannot do something, or we think you do not need it, we will say so before you spend anything.

Tokens

Tokens are how work is priced. They do not expire.

You can buy them one job at a time or in advance at a better rate. Buying in advance commits you to nothing: unused tokens simply sit there.

Once a job is approved it cannot be cancelled, because we begin work on it. If we cancel a job, the tokens go back to your balance.

Money

All prices exclude VAT. UK customers pay VAT at the prevailing rate at checkout, and customers outside the UK pay none.

Rates are shown on the site and are the rates that apply. We may change them, but never for work you have already approved.

Refunds in cash are handled case by case rather than automatically. Talk to us.

What you own

You own the code we write for you, outright, once it is paid for. It sits in your repository, on your hosting, under your accounts.

We keep the right to reuse general knowledge and techniques, which is unavoidable and is not your code.

Anything you give us stays yours.

What we promise, and what we do not

We will do the work described, to a professional standard, and fix anything that does not do what was agreed.

We cannot promise software will be free of every defect, that it will suit a purpose we were not told about, or that third party services we build on will keep working.

Our liability for any piece of work is limited to what you paid for it. We are not liable for lost profits or other indirect losses. Nothing here limits liability that cannot lawfully be limited.

Ending it

There is nothing to cancel. Stop approving work and nothing further happens. Unused tokens remain yours.

We may decline work, and we will say why.

Law

These terms are governed by the law of England and Wales, and the courts of England and Wales have jurisdiction.
